Terms of Service

1. Agreement to Terms

By downloading, accessing, or using the WeDrive mobile application (“the App”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not access or use the App.

These Terms constitute a legally binding agreement between you and Maonero (“we,” “us,” or “our”), the operator of WeDrive.

2. Description of Service

WeDrive is a technology platform that connects vehicle owners with potential drivers for partnership arrangements. We facilitate introductions and communication only.

3. Eligibility

To use WeDrive, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Not have been previously banned from the App
• Comply with all applicable local, national, and international laws

By using the App, you represent and warrant that you meet all eligibility requirements.

4. User Accounts

4.1 Registration

• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activity that occurs under your account
• You must immediately notify us of any unauthorized use of your account

4.2 Account Types

• Driver: Individuals seeking vehicle partnership opportunities
• Car Owner: Vehicle owners seeking drivers for their vehicles

4.3 Account Deletion

You may delete your account at any time through the App (Settings → Delete Account) or by contacting support@wedrive.maonero.com. Account deletion is processed in accordance with our Privacy Policy.

5. User Responsibilities

By using WeDrive, you agree to:

• Provide accurate, truthful, and current information in your profile
• Verify the identity, credentials, and background of any user you choose to do business with
• Obtain police clearance certificates or equivalent background checks before entering any arrangement
• Conduct your own due diligence before meeting anyone in person
• Meet in safe, public locations for initial meetings
• Ensure all vehicles involved are roadworthy, legally registered, and properly insured
• Maintain valid driver's licenses and comply with all traffic laws
• Comply with all applicable laws and regulations in your jurisdiction
• Not use the App for any illegal or unauthorized purposes

6. User Conduct

You agree NOT to:

• Provide false, misleading, or fraudulent information
• Impersonate any person or entity
• Harass, abuse, stalk, threaten, or intimidate other users
• Post content that is obscene, defamatory, discriminatory, or otherwise objectionable
• Use the App for any illegal activities, including but not limited to theft, fraud, or money laundering
• Circumvent the App to arrange off-platform transactions intended to avoid our Terms
• Use automated systems, bots, scrapers, or other non-human means to access the App
• Attempt to gain unauthorized access to any part of the App, other accounts, or our systems
• Interfere with or disrupt the App or servers
• Reverse-engineer, decompile, or disassemble any part of the App
• Use another user's account without their permission

7. No Endorsement or Verification

WeDrive does NOT:

• Verify user identities, credentials, driving records, or criminal backgrounds
• Endorse any user, vehicle, or arrangement
• Guarantee the accuracy, completeness, or reliability of any information provided by users
• Conduct background checks, police clearances, or reference checks
• Inspect, certify, or insure any vehicles listed on the platform
• Guarantee that users will fulfil any obligations or agreements

YOU are solely responsible for conducting your own due diligence and verifying all information before entering any arrangement with another user.

8. Partnership Agreements Between Users

• WeDrive facilitates introductions only — we are not a party to any agreement between users
• All partnership terms, conditions, and obligations are solely between the users involved
• Users should document all agreements in writing independently of the App
• We are not responsible for enforcing any agreement between users
• We do not process, facilitate, or guarantee payments between users
• Users are solely responsible for their own tax and regulatory obligations

10. User Content

10.1 Ownership

You retain ownership of all content you post on WeDrive (photos, text, profile information).

10.2 License

By posting content on the App, you grant WeDrive a non-exclusive, worldwide, royalty-free, transferable license to use, display, reproduce, and distribute your content solely in connection with operating and promoting the App.

10.3 Content Standards

We reserve the right to remove any content that violates these Terms, is reported by other users, or that we determine (in our sole discretion) to be harmful, offensive, or inappropriate.

11. Intellectual Property

• The WeDrive name, logo, design, and all related trademarks are the property of Maonero
• The App's source code, design, features, and functionality are proprietary
• Nothing in these Terms grants you any right to use our intellectual property without prior written consent
• All third-party trademarks referenced in the App are the property of their respective owners

12. Disclaimer of Warranties

The App is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied, including but not limited to:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or reliability of any information
• Uninterrupted, timely, secure, or error-free operation
• That defects will be corrected
• That the App is free of viruses or harmful components

13. Limitation of Liability

To the maximum extent permitted by applicable law:

Maonero, its directors, employees, partners, agents, and affiliates shall NOT be liable for:

• Any direct, indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunities
• Personal injury, property damage, or death arising from user interactions
• Actions, omissions, negligence, or misconduct of any user
• Any disputes, agreements, or transactions between users
• Stolen vehicles, unpaid fees, fraud, or criminal acts by users
• Service interruptions, errors, or data loss
• Any other damages arising from your use of or inability to use the App

Our total aggregate liability to you for any claim arising out of or relating to the App is limited to USD $0 (zero) or the amount you have paid to us for the App in the 12 months preceding the claim, whichever is greater.

14. Indemnification

You agree to defend, indemnify, and hold harmless Maonero, its directors, employees, partners, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

• Your use of the App
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your interactions, arrangements, or disputes with other users
• Any content you post or submit through the App
• Your negligence or wilful misconduct

15. Dispute Resolution

15.1 Between Users

WeDrive is NOT responsible for resolving disputes between users.

If you have a dispute with another user:

• You must resolve it directly with that user
• You may pursue legal remedies independently
• We will not act as a mediator, arbitrator, or adjudicator
• We will not provide user data to parties in disputes, except as required by valid legal process

15.2 Between You and WeDrive

• You agree to first attempt to resolve any dispute with us informally by contacting support@wedrive.maonero.com
• If informal resolution fails after 30 days, either party may pursue formal proceedings
• Class Action Waiver: To the extent permitted by law, you waive any right to participate in class action lawsuits or class-wide arbitration against Maonero

16. Termination

16.1 By You

You may stop using the App and delete your account at any time.

16.2 By Us

We may suspend or terminate your account at any time, with or without notice, for any reason including but not limited to:

• Violation of these Terms
• Fraudulent, illegal, or harmful activity
• User safety concerns
• Abusive behaviour toward other users
• Providing false information
• Extended inactivity

16.3 Effect of Termination

Upon termination, your right to use the App ceases immediately. Provisions that by their nature should survive termination (including liability, indemnification, and dispute resolution) will remain in effect.

17. Modifications to the App

We reserve the right to modify, suspend, or discontinue the App (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the App.

18. Changes to These Terms

We may update these Terms at any time. When we make material changes:

• We will update the “Last Updated” date at the top
• We will notify you via the App (push notification or in-app notice)

Your continued use of the App after changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the App.

19. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of Zimbabwe, without regard to conflict of law principles. Any legal proceedings arising out of or relating to these Terms or the App must be brought exclusively in the courts of Zimbabwe, and you consent to the personal jurisdiction of such courts.

20. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Maonero regarding the App and supersede all prior agreements and understandings.

22. No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
